Supplemental license terms for the EquipFlow application.

How this license fits with the Terms.

This End User License Agreement (the “EULA”) is between Amplifyd LLC, a Texas limited liability company, doing business as EquipFlow and the Customer using the EquipFlow application. It supplements and incorporates our Terms of Service, which govern subscriptions, trials, billing, Customer Data, warranties, liability, and disputes. A signed order form, master services agreement, data processing addendum, or other written agreement controls if it expressly conflicts with this EULA or the Terms.

What this covers.

This EULA applies to the software Customer signs into at dashboard.equipflow.app and related mobile and API surfaces. The public website, subscription, and checkout are covered by the Terms of Service. Capitalized terms not defined here have the meanings in the Terms.

License grant.

Subject to payment of applicable fees and continued compliance with this EULA and the Terms, EquipFlow grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license during the subscription term to access and use the application for Customer’s internal business operations. The license extends to Customer’s authorized employees and contractors. Each user must have individual credentials; shared logins are not permitted.

Restrictions.

Customer and its users may not reverse-engineer, decompile, or disassemble the application except where applicable law forbids that restriction; resell, rent, lease, sublicense, or provide the application as a service to third parties; use it to build a competing product; remove ownership notices; probe or test vulnerabilities without prior written consent; bypass security or rate limits; introduce malicious code; or access another customer’s account or data.

Ownership, Customer Data, and feedback.

Customer owns Customer Data. EquipFlow owns the application, code, design, documentation, modifications, and improvements, including improvements informed by feedback. The Customer Data processing license, feedback rights, de-identified usage provisions, and 30-day post-termination export window are stated in the Terms of Service and apply to this EULA.

Third-party services.

Customer may authorize connections to third-party services, including Stripe and QuickBooks Online. Customer’s use of a third-party service is governed by its direct agreement with that provider. EquipFlow is not affiliated with, endorsed by, or sponsored by Intuit Inc. QuickBooks, QuickBooks Online, and Intuit are trademarks of Intuit Inc. QuickBooks data handling and disconnect instructions are described in our privacy policy and at /integrations/quickbooks/disconnect.

Suspension and end of the license.

EquipFlow may suspend or terminate access as permitted by the Terms for overdue payment, material breach, illegal activity, security or service risk, or a legal requirement. The license ends when the subscription terminates. Cancellation is effective at the end of the current paid period, and fees remain non-refundable. The data export and deletion provisions in the Terms continue to apply.

Warranty and liability.

The disclaimers, exclusion of indirect and consequential damages, and aggregate liability cap in the Terms of Service apply to this EULA. The aggregate cap is the fees paid or payable by Customer during the 12 months before the event giving rise to the claim. If the claim arises solely during a free trial and no fees were paid or payable, the cap is $100. The exceptions stated in the Terms still apply.

Utah law and Utah County arbitration.

The governing-law and dispute-resolution provisions in the Terms apply to this EULA. Utah law governs, and covered disputes are resolved through individual binding arbitration with legal seat and venue in Utah County, Utah, after the 30-day informal-resolution process. The limited small-claims, emergency-relief, enforcement, class-waiver, and jury-waiver provisions in the Terms also apply.

Changes.

We may update this EULA under the notice and effective-date rules in the Terms. The version in effect when a dispute arose continues to govern that dispute.
