End user license agreement.
The license terms for the EquipFlow application — short, plain, and governed by Texas law.
What this covers.
This agreement governs your use of the EquipFlow application — the software you sign into at dashboard.equipflow.app and the related mobile and API surfaces. The public marketing site at equipflow.app is covered separately by our terms of use. The customer agreement you sign before going live — order form, master services agreement, data processing addendum — controls commercial terms. Where that agreement and this license disagree, the signed agreement wins.
License grant.
Subject to payment of the fees in your order form and continued compliance with this agreement, EquipFlow grants you a non-exclusive, non-transferable, non-sublicensable license to access and use the application for your own internal business operations during the subscription term. The license runs to the legal entity named on the order form and to its authorized employees and contractors. Each named user must have their own credentials — shared logins are not permitted.
Restrictions.
You may not reverse-engineer, decompile, or disassemble the application, except to the extent that applicable law forbids such restrictions. You may not resell, lease, rent, or host the application as a service for third parties. You may not attempt to probe, scan, or test the vulnerability of the application without prior written consent, bypass security or rate-limiting controls, or use the application to build a competing product. You may not remove or obscure copyright, trademark, or attribution notices. You are responsible for the activity of everyone using your credentials.
Your data and your records.
You own the data you put into EquipFlow — customer records, rental contracts, inventory, inspections, photos, financial entries, and the settings and mappings that configure them. EquipFlow owns the application, the code, the design, and any improvements we make based on aggregated, de-identified usage. We do not claim ownership of your operational data and we do not sell it, rent it, or share it with advertisers. Your privacy is further described in our privacy policy.
Third-party services.
EquipFlow connects to third-party services you explicitly authorize — the most common is QuickBooks Online, an Intuit product. When you connect QuickBooks Online, EquipFlow acts as your agent to push invoices, payments, customers, and items to your QuickBooks company file, and to read back payments and customer changes that post there. Your use of QuickBooks Online is also governed by Intuit’s own terms and by your direct agreement with Intuit; this license does not override those terms. EquipFlow is not affiliated with, endorsed by, or sponsored by Intuit Inc. QuickBooks, QuickBooks Online, and Intuit are trademarks of Intuit Inc. and are used for identification only. Disconnect instructions for the QuickBooks integration are available at /integrations/quickbooks/disconnect.
Suspension and termination.
EquipFlow may suspend access if payment is materially overdue, if continued use threatens the security or performance of the service for other customers, or if we are required to by law. We will give reasonable notice where we can. You may terminate the subscription in line with your order form. On termination, your license ends, access is removed, and we follow the data export and deletion procedures described in the customer agreement. We do not hold your operational data hostage.
Warranty and disclaimer.
EquipFlow provides the application with reasonable commercial care and will correct material defects that meaningfully prevent documented use, on the terms described in the customer agreement. Beyond that, and to the maximum extent allowed by law, the application is provided as-is. We do not warrant that the application will be uninterrupted, error-free, or fit for a particular purpose, and we do not warrant the accuracy of third-party data returned through integrations.
Limitation of liability.
To the maximum extent allowed by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits or lost revenue, arising out of or related to this license, even if advised of the possibility. Each party’s total liability under this license is capped at the fees paid or payable by you to EquipFlow during the twelve months preceding the event that gave rise to the claim. Nothing in this section limits either party’s liability for fraud, willful misconduct, or obligations that cannot be limited by law.
Governing law.
This license is governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from the license will be resolved in a court of competent jurisdiction located in Texas. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Changes to this license.
If this license changes in a material way we will update the date below and post the new version on this page. For material changes that affect your rights, we will also notify the integration or account owner by email. Continued use after a change means the updated license applies to your subsequent use; the prior version continues to govern earlier use.
